1. Because he knew that he could make a profit (albeit a dangerous one) out of it, which would allow him to get out of the bounty hunting life and live with his soon-to-be-bride Manaroo. 2. He had worked with Fett before and although Fett had 'betrayed' him per say he would have had great respect for him most likely. 3. Manaroo insisted that Dengar help Fett so, of course, 'happy wife, happy life.'

Well obviously Dengar is a really great and cool guy. Anyone who would help Boba Fett is more than alright in my book. Many people have said that Dengar's costuming is lazy or that it sucks but he looks pretty awesome to me. His costume is simple but effective.
