Megatron, hands down.
There's no way that a Human, even one like Boba, can go up against a thirty foot tall alien robot and win. Especially one that's evil, hates Humans and doesn't care whether or not they live or die.
Not to sound completely biast, I'd give Boba a shot at Megs, but nothing more. He'd be crushed before he had that chance to fire off another shot.

Megatron can fly as well, so even with his Jet pack I'd still say Boba wouldn't win.

But it would hardly scatch Megatron.

stupid match-up. Megatron would take about two seconds of his time and Boba would be dead.
